Terms and Conditions

E-residence.cv is a company based in Mindelo, São Vicente Island, Republic of Cape Verde.

By accepting the Terms and Conditions, this “Agreement” is concluded between the user of the website, here called “Customer” and the owner of the website, here called “Service Provider”. Customer and Service Provider also referred to individually as “Party” and collectively referred to as “Parties”.

Anyone who registers and requests any services offered at https://e-residence.cv/ through the website considers themselves to be aware of the terms and conditions of use and processing of personal data and, therefore, accepts them.

  1. 1. DEFINITIONS

In this Agreement, the following terms will have the meaning indicated:

  • “Site” – is the website accessed through the following link: e-residence.cv
  • “Agreement” means this Services and Consulting Agreement
  • “Start Date” means the day of acceptance of this Agreement
  • “Company” means the company that the Customer will form in Cape Verde

Platform – means the website on which the Service is available. It is owned, controlled, managed, maintained and/or hosted by e-residence.cv

  1. OBLIGATIONS OF THE SERVICE PROVIDER

2.1. The Service Provider will provide the services (the “Services”) as defined and described in Paragraph 4.

2.2. The Ombudsman undertakes to maintain regular communication with the client throughout the term of the Contract.

  1. CUSTOMER OBLIGATIONS

3.1. The Customer undertakes to make available all necessary documents, information and information requested by the Service Provider in a timely manner to carry out the work to provide the Service.

3.2. The client’s identity documents must meet the requirements, be valid, must contain their signature, without this their documents cannot be certified and the process cannot be started.

  1. SERVICES AND THEIR TERMS OF PROVISION
 

4.1. Company Incorporation

4.1.1. The Initial Scope of the Contract is for the Service Provider to provide the Client with consultancy services for the establishment of its Limited Company in Cape Verde, namely assisting in the constitution of the Company, until its registration with social security and other competent entities. authorities as follows:

  • Request and issue a Cape Verdean taxpayer identification document from the competent authorities
  • Request and obtain approval of Company scope and name reservation certificate
  • Provide a registered business address for Company registration in Cape Verde
  • Execution of all process steps necessary to incorporate the Company into the Registry

Pay all government fees for taxpayer identification, company name reservation and company registration

4.1.2. The Monthly Scope of the Contract provides for the Service Provider to provide the Client with consultancy services for the management of their company in Cape Verde, namely providing the following set of monthly services:

  • Receive correspondence from the Company and notify the Customer of all correspondence (correspondences will be deleted 14 days after scanning)
  • Scanning and emailing digital copies of all important Company correspondence

4.1.3. The state fee paid when creating the company cannot be refunded, the refund can only be made on the processing fee. All services are provided to individuals and cannot be provided to third parties. All invoices will be issued only in the name of the customer and not to any entities.

4.2. NIF

The Customer appoints the Service Provider to represent its interests and the interests of its family members and to carry out the necessary actions on behalf of the Customer in the Customer’s request to acquire the NIF (Tax Identification Number). The scope of work is as follows:

  • Request and issuance of a Cape Verdean taxpayer identification document from the Tax and Customs Authority (Tax and Customs Authority)
  • Availability of local tax representative for a period of 1 year for non-residents.

4.2.1. The user (“User”) declares and confirms that he has never possessed, requested or been assigned a Tax Identification Number (TIN) or equivalent tax identification number in his country of residence or in any other jurisdiction.

4.2.2. The User also declares and confirms that he has never authorized, instructed or allowed any other person, entity or third party to request, obtain or use CPF or equivalent CPF on his behalf or for his benefit.

4.2.3. The User acknowledges that providing false or misleading information regarding their NIF status may result in termination of their account, access to the Services and/or any other applicable penalties under the laws and regulations governing the use of such NIF numbers. tax identification.

4.2.4. The User undertakes to promptly notify and e-residence.cv in writing if your NIF status changes or if you become aware of any inaccuracies or omissions in the information provided in this section.

4.2.5. e-residence.cv reserves the right to request documentation or additional information from the User to verify the status of their NIF and compliance with these terms and conditions. Failure to provide such documentation or information upon request may result in termination of the User’s account and access to the Services.

The cost to request your CPF includes one year (12 months) of tax representation. At the end of this year, your tax representation will be automatically renewed at the rate of €99/year and charged to your payment card. You can cancel this service after you become a tax resident of Cape Verde and update your address with the tax administration or find another tax representative and inform us about it.

4.2.6. The User acknowledges and agrees that if e-residence.cv contacts the competent tax office or authority, and it is determined that the User has already been assigned a NIF or equivalent tax identification number, any service fees paid by the User to e-residence.cv related to the application or assistance in obtaining a NIF will be considered non-refundable.

4.2.7. The cost of requesting a password through the CPF request form is €10, after the initial request for the form, any subsequent password reset requests will incur an additional 20€.

4.2.8. The delivery time for passwords is not guaranteed and is subject to factors beyond the control of e-residence.cv. These factors may include, but are not limited to, tax office and postal service processing times. Although we make every effort to ensure timely delivery, e-residence.cv cannot be held responsible for delays in receiving passwords caused by external factors.

4.3. NISS

The Customer appoints the Service Provider to represent its interests and the interests of its family members and carry out the necessary actions on behalf of the Customer in the Customer’s request for the acquisition of the NISS (Social Security Identification Number). The scope of work is as follows:

  • Request and issue the Cape Verdean social security number from the social authority (Social Security”).

4.3.1. The User confirms that he has not authorized any other person, entity or third party to request or obtain the NISS on his behalf.

4.4. DOCUMENT NOTARIZATION

We offer document notarization services, which include document certification by a CV notary public. Our services are designed to ensure that your documents are properly authenticated in accordance with applicable laws and regulations.

4.4.1. The estimated response time for document notarization services is 24 hours. This estimate is based on appointment availability and excludes holidays. Although we endeavor to meet this delivery time, it cannot be guaranteed.

4.4.2. Delays beyond the estimated response time do not constitute a breach of these Terms and Conditions and will not result in refunds or compensation.

4.4.3. We guarantee that the documents authenticated by us will be 100% eligible in countries that are part of the Hague Convention.

4.4.4. Customers are responsible for consulting the specific requirements of public authorities in the country where the document will be presented to ensure compliance. 4.5.5. Documents certified by a CV notary public through our service can be accepted without an apostille in PALOP countries. However, acceptance is subject to the discretion of the receiving authority.

4.4.5. The cost of our notarization service is €150. This fee is due when the service is requested and can be paid using the payment methods specified on our platform. 4.5.7. Refunds are available under the following conditions:

  • Refunds are only possible until the document is sent digitally to the Customer.
  • Once the Client has received an electronic copy of the notarized documents, the fee becomes non-refundable.

4.5. OPEN BANK ACCOUNT

The Customer appoints the Service Provider to represent its interests and the interests of its family members and to carry out the necessary actions on behalf of the Customer in the Customer’s request for the opened bank account. The scope of work is as follows:

  • Request and issue a bank account at the bank branch.
  • The cost of our bank account service is 550€ remotely and 00€ – in person. An initial deposit of 100€ in bank fees is included.
  • In case of refusal by the bank or request for a refund by the customer, we will refund 50% of the cost of the service.

Current bank account response time: 3-4 weeks, response time is estimated based on documents provided and is not guaranteed.

Our time and response is an estimate as there are things outside of our control (e.g. international customs, shipping times and banking compliance). We cannot guarantee that your bank account will be opened by a certain date.

e-residence.cv is not a bank and cannot guarantee the opening of your account.

  1. VERIFICATION POLICY
 

At e-residence.cv we implement comprehensive verification processes to ensure the integrity and security of our services. This policy applies to all customers using any service provided through our platform. Below we describe our approach to managing discrepancies and detecting potential fraud during the verification process:

5.1.1. Integrity checks: We carry out thorough checks to identify any fraudulent patterns, including forged documents or inconsistencies in the information submitted.

Identity Verification: A mismatch between a customer’s live image and photo ID will result in temporary suspension of service pending further verification.

Use of multiple identities: Using a single selfie with different IDs under multiple names will lead to denial of service.

Scam List Screening: Customers identified on any fraud list will not be eligible for our services.

Document Authenticity: Submissions that show signs of alteration through editing software will be automatically denied.

Consequences and Compliance:

5.1.2. Denial of Service: Failure to verify for the reasons mentioned will result in denial of the requested service. Fees may be withheld to cover processing expenses.

Collaboration with authorities: e-residence.cv is committed to legal compliance and will cooperate with law enforcement authorities in investigating and addressing fraudulent or illegal activities.

This policy underscores e-residence.cv’s dedication to maintaining a safe and reliable environment for all our customers across various services, including, but not limited to, document notarization. Our verification processes are designed to protect our customers, our platform and government institutions against fraud and misuse.

  1. DURATION, FEES AND PAYMENT TERMS
 

6.1. Contract Duration: From the Start Date until cancellation with prior notice from the Customer by sending an official notice to the Company by email 1 month before the termination of this Contract. All obligations of the Parties, including payment obligations for Services, that have already been provided up to the date of termination of the Agreement, must be fully complied with.

6.2. Charges for the Services: In consideration of the performance of the Services, Customer will pay the Service Provider the charges (the “Charges”) plus any applicable taxes and fees.

  1. REFUND POLICY
 

7.1. The Ombudsman is exempt from liability for any failure or delay in fulfilling obligations considering all services in the event of resignation by the compliance department, competent institution.

7.2. If a refund is deemed necessary or appropriate, e-residence.cv will refund to the customer only an amount equal to the exact payment made by the customer for the specific service in question, without any additional percentage or compensation fees. By using our services, customers agree to this refund limitation and acknowledge that they will not be eligible for any additional compensation beyond the original payment amount.

7.3. The service provider is not obligated to provide refunds (the “Services”) as defined and described in paragraphs “4.2.6.”, “4.5.7.”, “4.7.2.”, “4.7.3.”, “5.1 .2.”, “7.1″

7.4. The service provider makes the refund only to the same card that the customer used for the application.

  1. REPRESENTATIONS AND WARRANTIES
 

Each Party represents and warrants that, as of the Effective Date:

  • You have all necessary corporate power and authority to enter into this Agreement and perform your obligations hereunder, and the execution and delivery of this Agreement and the consummation of such transactions contemplated by this Agreement have been duly authorized by all necessary corporate actions on your part. ;
  • This Agreement constitutes a legal, valid and binding obligation of such Party, enforceable against it in connection with its terms;
  • The provision of services by the Second Contractor will be carried out with total functional and hierarchical independence in relation to the First Contractor.
  • The Service Provider will comply with all applicable laws, rules and regulations relating to the provision of the Services and the Customer will comply with all applicable laws, rules and regulations relating to the receipt of the Services.
 
  1. COMPLIANCE WITH LAWS
 

The Parties will comply with all applicable laws, regulations and other governmental requirements in fulfilling their obligations to usterms of the Contract.

  1. CONFIDENTIALITY
 

10.1. Customer and Service Provider agree not to disclose to third parties information relating to costs, expenses, ways of doing business or techniques, or any other information or documents received from the other party identified in writing as confidential or proprietary, or otherwise form received under circumstances in which the recipient would reasonably perceive such information as being in which the recipient would reasonably perceive such information as confidential, except to persons, attorneys, employees, auditors, consultants, agents, subcontractors or other persons, with whom they have a confidential relationship or agreement (collectively, “Representatives”).

10.2. Customer and Service Provider will be responsible for any violation of the provisions of this Section by either of their respective Representatives. Subject to the foregoing, under no circumstances may confidential information or documents be disclosed to third parties, affiliates or persons who are or may be competitors of the other Party. During the term of this Agreement and for a period of two (2) years after the expiration or earlier termination of this Agreement, each Party shall take all reasonably practicable precautionary measures in order to prevent disclosure of such confidential or proprietary information to third parties.

  1. FORCE MAJEURE
 

11.1. The Parties are exempt from liability for any failure or delay in fulfilling their obligations hereunder, when such failure or delay arises or is caused directly or indirectly by circumstances beyond the reasonable control of the Parties (including, but not limited to, Acts of God, earthquakes, volcanoes, eruptions, fires, floods, wars, civil or military disturbances, sabotage, terrorism, epidemics, riots, interruptions, loss or malfunction of public services, computers (hardware or software) or communications services, DDoS attacks, disputes labor, acts of any civil or military authority or governmental actions), provided, however, that the Parties use their best efforts to resume performance as quickly as possible.

11.2. If such circumstances occur, the Party will notify the other Party within 10 days.

11.3. If force majeure circumstances persist for more than 60 days, each Party will have the right to unilaterally terminate the Agreement.

  1. CONTRACTUAL DISPUTES AND APPLICABLE LAW
 

12.1. All disputes relating to completion, interpretation, execution and termination will be resolved by the Parties through negotiations.

12.2. This Agreement will be governed exclusively by the laws of Cape Verde

12.3. In the event of disputes not resolved through the complaints procedure, as well as in the event of failure to respond to the complaint within the period specified in this Agreement, any dispute, controversy or claim arising out of or in connection with this Agreement will be resolved by court.

  1. FINAL PROVISIONS
 

13.1. By using the Platform, the Customer agrees to the Terms of Services.

13.2. The Site Owner reserves the right to involve third parties to provide the Customer with the services described in the Terms of Service.

13.3. E-residence.cv (site owner) reserves the right to modify the Terms of Service, in whole or in part, at any time. Such changes will be communicated to the Customer via email or notice on the Website.
